Site Squad Service Agreement
Draft for review and signature
1. Who this agreement is between
This agreement is between Empire Media Group FZCO, trading as Site Squad ("Site Squad", "we", "us"), a free zone company registered with the Dubai Silicon Oasis Authority, Dubai, United Arab Emirates, licence number 33742, registered address Dubai Silicon Oasis, DDP, Building A1, Dubai, United Arab Emirates, and [Client business name] ("you"), named on the signature page. The same company appears on this agreement, on every invoice and on your card statement.
2. What Site Squad does for you
For one monthly fee we design, build, host and look after your website. In full:
- Design and build of your website, based on your business and the information you give us
- Hosting, SSL certificate, security and backups
- Keeping the site running: updates, fixes and monitoring
- Ongoing updates and new pages, within reasonable use, normally live within two business days and often the same day: text, images, prices, hours, new sections, new pages
- Search and AI-search optimisation, maintained: page titles and descriptions, structured data, sitemap, redirects from your old addresses at launch, registration with Google Search Console and Bing, and pages structured for visibility and discoverability across traditional and AI-powered search, reviewed every month
- One article a month written for your business, in your voice, sent to you for approval before it is published
- Landing pages for anything you promote (an offer, an event, a new service), built within 48 to 72 hours
- A design refresh of your site once every 12 months, on request
- Connecting your own domain name to the site
- Support by email, with a reply within one business day
We do not provide legal, financial, medical or professional advice through the site content. You review and approve the words on your site before it goes live, and you are responsible for their accuracy.
3. Price and payment
- The fee is USD 99 per month, including everything in section 2.
- There is no setup fee, no minimum term and no cancellation fee.
- You pay nothing until your site is live on your domain and you have approved it. Design, revisions and the preview are free.
- The first payment is taken on the day the site goes live. Each later payment is taken on the same day of each month.
- Your price is USD 99 a month for as long as you are on this plan. It does not go up. The only way your price changes is if you choose a different plan.
- Payments are made by card through our payment processor. Invoices are emailed to you each month.
- If a payment fails, we will let you know and try again. Your site stays online for at least 14 days while this is sorted out.
4. Term, cancelling and leaving
- This agreement runs month to month from the day your site goes live. It renews automatically each month until you cancel.
- You can cancel at any time, for any reason, by emailing us. No notice period, no questions, no cancellation fee. We stop charging you from the next billing date.
- We can end the agreement with 60 days' written notice, or sooner only if you break section 8 and do not fix it within 14 days of our telling you.
- What you take with you depends on how long you have been with us:
- After 6 months or more: you take the whole website, free. Within 7 days we send you a complete copy: every page, image, style file and script, in standard web formats (HTML, CSS, JavaScript, image files) that any developer or host can use.
- Before 6 months: your content is always yours and always free. Within 7 days we send you everything you gave us and everything we wrote or created for you (text, images, logos, reviews), ready to use anywhere. The design and build of the site stay with Site Squad unless you choose to buy them: a one-time fee of USD 300 gives you the complete website files, exactly as in point 1.
- In both cases we keep your site live on our hosting for 30 days after your last billing date at no charge, so you have time to move, and we help you point your domain to your new host if you ask us to.
- After the 30 days we take the site offline and delete our copies of your content and visitor data, except what we must keep by law.
- Nothing you have paid is refundable for months already provided, and nothing more is owed.
5. Ownership
- You own your content, from day one. Anything you give us (your logo, photos, text, reviews, documents) stays yours, and the text and images we create for your business are yours too. You give us permission to use them only to build and run your site, and you can take them with you at any time, free.
- You own your website after 6 months. From the sixth monthly payment, the design and build of your site (pages, layout, styles, code) belong to you as well, and you can take the whole site to any other provider at any time. Before then, the design and build belong to Site Squad and are licensed to you while you are on the plan; you can buy them outright at any time for a one-time fee of USD 300 (section 4).
- You own your domain, always. Your domain name stays registered in your name, with your registrar, under your control. We only ask you to point it at our hosting (a DNS change you can reverse at any time). We never ask you to transfer the domain to us.
- The only things we keep in every case are our own tools and systems that are not specific to you: our hosting setup, build software and internal code. None of these are needed to run your site elsewhere.
- Images created for your site are made for you and licensed to you without time limit. Fonts are standard Google Fonts, free to use.
- Until the site is live and the first payment is made, the preview belongs to us. If you decide not to go ahead, you simply do not pay and we take the preview down.
6. Your information and your visitors' information
Where the site lives. Your site is hosted on Cloudflare, a United States company, on its global network, so pages are served from the location nearest each visitor. Site files are static web pages: they hold no database of your clients.
Forms and enquiries. Messages that visitors send through your website go to you, not to us. We set every contact or booking form on your site to deliver directly to your email address or to a system you choose (for example your booking or intake software). Where a form must pass through our systems to reach you, it is forwarded immediately and not kept. On request we will configure your site so that no enquiry passes through us at all.
What we can see. We can see the content of your website, the technical logs needed to keep it running (page addresses, times, error messages, visitor IP addresses held briefly by the host for security) and the messages you send us. We do not see or keep the substance of what your clients or prospective clients send you, unless you forward it to us for support.
What we will never do with your information or your visitors' information:
- Sell it, rent it or share it with anyone for marketing
- Use it for advertising, for analytics unrelated to your site, or to train AI models
- Use it for any purpose other than building, running and supporting your website
Confidentiality. We treat your business information and anything about your clients as confidential, during the agreement and after it ends. Everyone who works on your site for us is bound by the same obligation in writing. We disclose information only when the law requires it, and we tell you first if we are allowed to.
Other providers. The primary third-party providers involved in delivering the service are Cloudflare (hosting and security), Google Fonts (typefaces) and our payment processor (your card payment only). Each has its own privacy policy. We will tell you in writing before adding any provider that could handle your visitors' information.
7. Security and incidents
- Your site is served over HTTPS with a valid SSL certificate, behind Cloudflare's security and denial-of-service protection, and your site files are backed up every time they change.
- Access to your site's hosting is limited to the people who need it, protected by two-factor authentication.
- If we become aware of a security incident that affects your website or any information we hold for you, we will tell you within 72 hours of becoming aware of it, explain what happened and what we are doing about it, and cooperate fully with any investigation or notification you need to carry out.
- We keep your site's software and dependencies up to date as part of the monthly fee.
8. What each of us is responsible for
We will:
- Build the site to a professional standard and make it work on phones and computers
- Keep it online, secure and backed up
- Make the changes you ask for within a reasonable time, normally within two business days for small changes and within a week for new pages
- Answer your emails within one business day
- Tell you the truth about what we can and cannot do
You will:
- Give us accurate information about your business and check the content before it goes live
- Only give us material you have the right to use (your own photos, text and logos, or ones you have licensed)
- Not ask us to publish anything unlawful, misleading or harmful
- Keep your domain registration and your payment details up to date
What reasonable use means. The monthly fee covers everything a business normally needs from its website: updating text, prices, hours and photos, adding pages and sections, landing pages, the monthly article and the yearly design refresh. Reasonable use means the volume of changes a single small business normally needs, not a standing team: as a guide, a few requests a week, each taking up to a couple of hours. It does not cover building web applications, online shops with payment, custom software, or a complete rebuild outside the yearly refresh. If you want something like that, we will quote it separately before doing any work, and you are free to say no.
9. If something goes wrong
Talk first. If either of us has a problem with the other, we email, we talk, and we try to fix it within 30 days before anything else.
Which law applies. This agreement is governed by the law of the state, province or country where your business is registered, and any dispute is heard in the courts there. You are never required to go to court or arbitration in the United Arab Emirates.
Limits on liability. Websites and the internet are not perfect, so both of us accept these fair limits:
- Neither of us is liable to the other for indirect losses such as lost profits or lost business.
- Our total liability to you under this agreement is limited to the fees you have paid us in the 12 months before the claim, or USD 1,188, whichever is greater.
- A higher limit for the things that matter most: for a breach of our confidentiality obligations in section 6, a security incident caused by our negligence, or loss of your data caused by our negligence, our total liability is limited to USD 5,000. No limit applies to anything the law does not allow us to limit.
Mistakes. If we make a mistake on your site, we fix it free of charge. If a mistake costs you money because of our negligence, we make it right up to the limit above.
Things outside anyone's control. Neither of us is responsible for delays caused by events beyond reasonable control, such as an outage at a hosting provider, as long as we keep you informed and fix things as soon as we can.
10. The small print, kept small
- This is the whole agreement between us about your website. It replaces anything said or written before it.
- Changes to it only count if both of us agree in writing (email is fine).
- Neither of us can hand this agreement to someone else without the other's consent, except that we may transfer it to a company that takes over Site Squad, and we will tell you if that happens.
- Notices go by email: to you at the address on the signature page, to us at [email protected].
- If a court finds one part of this agreement unenforceable, the rest still stands.
- Both of us agree that electronic signatures, and the date and record attached to them, are valid and binding.
